Annual General Meeting 23 September 2026
The 2026 Annual General Meeting of The Chartered Governance Institute (The Institute) will be held in hybrid format at 18.00 hrs. (local time) on Wednesday, 23 September 2026 at KLGCC Convention Centre, (Banyan & Casuarina Rooms), Ground Floor, 1A, Jalan Bukit Kiara 1, 60000 Bukit Kiara Kuala Lumpur, Malaysia. Members may participate either in person or virtually via the Vistra Share Registry and IPO (MY) portal at https://srmy.vistra.com
The following business will be put to the meeting:
- To receive and consider the report of the Council on the business of the Institute for the year ended 30 June 2026 as set out in Appendix A to this notice.
- To receive comprehensive audited financial statements of the Institute for the year ended 30 June 2026 as set out in Appendix B to this notice.

Notes not forming part of the resolutions
- The Institute 2026 AGM will be held in hybrid format whereby member(s) and proxy(ies) will have an option, either:
a. To attend in person at the Meeting Venue (“Physical Attendance”) OR
b. To attend virtually using the Vistra SRMY Portal at https://srmy.vistra.com (“Virtual Attendance”).

- The Council of the Institute has appointed Vistra Malaysia as the poll administrator and scrutineers of the annual general meeting for the purposes set out in the byelaws.
- In order to be passed, resolutions 1 and 2 require a simple majority of the members voting (e-voting, in person or by proxy) on a poll taken in such a manner as the person chairing the meeting directs.
- A member entitled to participate and vote at the meeting may appoint a proxy to attend, speak and vote on their behalf. A proxy must be a member of the Institute who is entitled to vote.
