CGI Global Recommendation Regarding reference to Corporate Secretary in Japan’s
Corporate Governance Code
This letter follows our previous correspondence recommending that Japan’s Corporate
Governance Code reference the important role of the Corporate Secretary to strengthen the
functioning and effectiveness of the board of directors thereby contributing to long-term
corporate success and resilience.
In this letter we respectfully recommend that reference to the Corporate Secretary be
strengthened in most recent draft of the revised Japan Corporate Governance Code by:
• Elevating reference to the role in Principle 14.3
• Expanding the description of the role in the Interpretive Guidance
